Acceptance of These Terms
These Terms of Service ("Terms") form a binding agreement between you and Verdira Holdings, LLC, together with its affiliated management services organizations and related entities ("Verdira," "Company," "we," or "us"), and govern your access to and use of verdira.com, physicians.verdira.com, deals.verdira.com, and any related services (collectively, the "Website").
By creating an account, accessing a restricted area of the Website (including the Investor Login or Physician Portal), clicking a box or button indicating that you accept these Terms, or otherwise using the Website, you affirmatively agree to be bound by these Terms and by our Privacy Policy, including the binding arbitration provision and class-action waiver set out below. If you do not agree to these Terms, do not access or use the Website. Where these Terms are presented together with a checkbox or "I agree" control, your selection of that control constitutes your electronic signature and your acceptance of these Terms.
We reserve the right to review and amend these Terms at our sole discretion. When we do, we will update this page and revise the "Last updated" date above. Material changes are effective upon posting, and your continued use of the Website after changes are posted constitutes acceptance of the revised Terms.
Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Website. By using the Website, you represent and warrant that you meet these requirements and that you are not barred from using the Website under the laws of any applicable jurisdiction. Access to the Investor Login, Physician Portal, and other restricted areas is further limited to persons who meet the eligibility criteria for those areas.
Nature of Services
Verdira Holdings, LLC is a holding company. Through its affiliated, state-level management services organizations ("MSOs"), the Company provides non-clinical administrative, operational, and management support services to independently owned ophthalmology practices. Neither the Company nor its affiliated MSOs practice medicine, provide healthcare services, diagnose or treat patients, or exercise control over clinical decision-making. All medical services are provided exclusively by independently owned physician practices and their licensed healthcare professionals, who maintain full clinical autonomy in all patient-care matters.

HIPAA Non-Applicability
Verdira is neither a "covered entity" nor a "business associate" as those terms are defined under the Health Insurance Portability and Accountability Act of 1996 ("HIPAA") and its implementing regulations at 45 CFR Parts 160 and 164. Verdira does not provide healthcare services, treat patients, or maintain protected health information ("PHI").
Information collected through this Website relates solely to business and practice operations and does not include individually identifiable health information. Any PHI related to patient care is maintained exclusively by independently owned physician practices, which are responsible for their own HIPAA compliance. Do not submit any patient-identifiable health information through this Website.
Although not subject to HIPAA, we maintain commercially reasonable administrative, technical, and physical safeguards to protect the confidentiality and security of all information collected through this Website.

You represent and warrant that your Submissions do not contain any patient-identifiable health information or protected health information. Copyright Complaints

If you believe material available on the Website infringes your copyright, you may send a written notice to our designated agent at info@verdira.com that includes: a description of the copyrighted work; the location of the allegedly infringing material; your contact information; a statement of your good-faith belief that the use is not authorized; and a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf. Indemnification

Binding Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS.
Agreement to arbrtrate
You and Verdira Holdings, LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or any services provided through the Website (collectively, "Disputes") shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules then in effect, rather than in a federal, state, or local court. The arbitration shall be conducted by a single neutral arbitrator in Laramie County, Wyoming, or at such other location as the parties may mutually agree. The arbitrator shall apply Wyoming substantive law consistent with the Federal Arbitration Act.
Class Action Waiver
YOU AND THE COMPANY AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MULTI-PARTY, OR REPRESENTATIVE ACTION OR PROCEEDING.
The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If a court or arbitrator determines that this class-action waiver is void or unenforceable, the arbitration provision in its entirety shall be deemed null and void.
Jury Trial Waiver
BY ENTERING INTO THESE TERMS, BOTH YOU AND THE COMPANY WAIVE THE RIGHT TO A TRIAL BY JURY.
Exceptions
Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. As stated in the Investment and Securities Disclaimer above, nothing in this section waives any non-waivable right or remedy under federal or state securities laws.
Opt-Out
You may opt out of this arbitration provision by sending written notice to Verdira Holdings, LLC, 30 N. Gould St., Suite R, Sheridan, WY 82801, within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out.
Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles. Any legal action not subject to the arbitration provision above shall be instituted exclusively in the state courts of Wyoming located in Laramie County (First Judicial District) or in the United States District Court for the District of Wyoming, and each party irrevocably submits to the exclusive jurisdiction and venue of such courts and waives any objection based on improper venue or forum non conveniens.
Electronic Communications Consent
By using this Website, you consent to receiving electronic communications from Verdira. You agree that any notices, agreements, disclosures, or other communications that Verdira sends to you electronically satisfy any legal requirement that such communications be in writing, in accordance with the Electronic Signatures in Global and National Commerce Act (15 U.S.C. §§ 7001 et seq.) and the Wyoming Uniform Electronic Transactions Act (Wyo. Stat. §§ 40-21-101 et seq.).
You have the right to receive any communication in paper form. To request a paper copy, or to withdraw your consent to electronic communications, contact us at info@verdira.com.
Force Majeure
Verdira shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond Verdira's reasonable control, including but not limited to: acts of God, natural disasters, pandemics or epidemics, government actions or orders, cyberattacks or security breaches, telecommunications or hosting failures, supply-chain disruptions, labor disputes, or acts of terrorism. Verdira will use commercially reasonable efforts to mitigate the effects of any force majeure event and will provide notice to affected users as soon as practicable.
Accuracy of Materials

These Terms bind and benefit the parties and their permitted successors and assigns.
Survival
Any provision of these Terms that by its nature should survive termination will survive, including the Investment and Securities Disclaimer, Intellectual Property, User Submissions, Disclaimer and Limitation of Liability, Indemnification, Binding Arbitration and Class Action Waiver, Governing Law and Venue, and these general provisions.
No Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. No waiver of any term will be deemed a further or continuing waiver of that term or any other term, and our failure to assert any right or provision under these Terms does not constitute a waiver of that right or provision.
No Third-Party Beneficiaries
Except for the indemnified parties identified above, these Terms do not create any third-party beneficiary rights in any person or entity.
Severance
Any term of these Terms which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms is not affected.
Entire Agreement
These Terms, together with the Privacy Policy and any additional terms applicable to specific portions of the Website (including Deal Room Access Terms and Physician Portal Terms, as applicable), constitute the entire agreement between you and Verdira with respect to your use of the Website.
California Users
