Verdira Holdings, LLC is a management services organization ("MSO") that provides non-clinical administrative, operational, and management support services to independently owned ophthalmology practices. The Company does not practice medicine, provide healthcare services, diagnose or treat patients, or exercise control over clinical decision-making. All medical services are provided exclusively by independently owned physician practices and their licensed healthcare professionals, who maintain full clinical autonomy in all patient care matters.

Binding Arbitration and Class Action Waiver

Agreement to Arbitrate
You and Verdira Holdings, LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or any services provided through the Website (collectively, "Disputes") shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules then in effect, rather than in a federal, state, or local court. The arbitration shall be conducted by a single neutral arbitrator in Laramie County, Wyoming, or at such other location as the parties may mutually agree. The arbitrator shall apply Wyoming substantive law consistent with the Federal Arbitration Act.
Class Action Waiver
YOU AND THE COMPANY AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MULTI-PARTY, OR REPRESENTATIVE ACTION OR PROCEEDING.
The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If a court or arbitrator determines that this class action waiver is void or unenforceable, the arbitration provision in its entirety shall be deemed null and void.
Jury Trial Waiver
BY ENTERING INTO THESE TERMS, BOTH YOU AND THE COMPANY WAIVE THE RIGHT TO A TRIAL BY JURY.
Exceptions
Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
Opt-Out
You may opt out of this arbitration provision by sending written notice to Verdira Holdings, LLC, 30 N. Gould St., Suite R, Sheridan, WY 82801, within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out.
Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles. Any legal action not subject to the arbitration provision above shall be instituted exclusively in the state courts of Wyoming located in Laramie County (First Judicial District) or in the United States District Court for the District of Wyoming, and each party irrevocably submits to the exclusive jurisdiction and venue of such courts and waives any objection based on improper venue or forum non conveniens.
Electronic Communications Consent
By using this Website, you consent to receiving electronic communications from Verdira. You agree that any notices, agreements, disclosures, or other communications that Verdira sends to you electronically satisfy any legal requirement that such communications be in writing, in accordance with the Electronic Signatures in Global and National Commerce Act (15 U.S.C. §§ 7001 et seq.) and the Wyoming Uniform Electronic Transactions Act (Wyo. Stat. §§ 40-21-101 et seq.).

Force Majeure
Verdira shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond Verdira's reasonable control, including but not limited to: acts of God, natural disasters, pandemics or epidemics, government actions or orders, cyberattacks or security breaches, telecommunications or hosting failures, supply chain disruptions, labor disputes, or acts of terrorism. Verdira will use commercially reasonable efforts to mitigate the effects of any force majeure event and will provide notice to affected users as soon as practicable.
